“Facebook’s underwriters don’t qualify for the eased research restrictions put into place by the JOBS Act, signed into law by President Barack Obama in April.“The law says underwriters of ‘emerging growth companies,’ or companies with less than $1 billion of annual gross revenue during the prior full fiscal year, don’t need to wait a required amount of time before publishing research, according to a note from law firm Sutherland Asbill & Brennan.

- FB may have further to fall this week although it might have a ‘dead-cat’ bounce from being off 13%.
- The underwriters will try their best to stabilize the price, without committing more of their own money.

A large overhang of sophisticated Facebook shareholders want out the exit door, even after bailing out to the tune of $10 billion on the FB IPO. For example, at $40 per share the additional public float is expected to be $65 billion by year end.
Adding in the offering, that means FB’s float in six months could be/will be $85 billion (with $75 billion going to selling shareholders). If you are on the other side those trades, good luck.
